Conditions governing the use of our services

1. Acceptance of Terms

By accessing and using the website owncx.io (hereinafter "the Site") and/or contracting the services of OwnCX, operated by Shiba Group Co. (hereinafter "OwnCX", "we", or "the Company"), you agree to be bound by these Terms of Service.

If you do not agree with any of these terms, please refrain from using the Site or contracting our services.

Continued use of the Site after the publication of changes to these Terms constitutes acceptance of such changes.

2. Description of Services

OwnCX is a boutique AI-first B2B consulting group operating across 8 practice areas:

  1. Technology & AI Solutions

  4. Leadership & Human Development
  5. Digital Marketing & Growth
  6. Security & Cybersecurity
  7. Legal, Compliance & HR
  8. Government Relations & Infrastructure

Our services include, but are not limited to: strategic consulting, technology solution implementation, customer experience advisory, executive coaching, legal advisory, and regulatory compliance.

The specific services, scope, deliverables, and particular conditions of each project are defined in individual contracts, service proposals, or service level agreements (SLAs) entered into between OwnCX and each client.

3. Client Obligations

By contracting OwnCX's services, the client agrees to:

  • Provide truthful, complete, and timely information necessary for service delivery.
  • Designate a point of contact with sufficient authority to make project-related decisions.
  • Grant reasonable access to systems, data, and personnel necessary for service execution.
  • Comply with agreed review and approval timelines.
  • Respect the intellectual property rights of OwnCX and third parties.
  • Make payments within agreed terms and deadlines.
  • Comply with applicable laws and regulations in connection with contracted services.
  • Not use OwnCX services or deliverables for illegal or unauthorized purposes.

4. Intellectual Property

OwnCX Property: The trade name "OwnCX", logo, Site design, proprietary methodologies, frameworks, analysis tools, templates, and all content published on the Site (text, graphics, images, software) are the exclusive property of OwnCX / Shiba Group Co. or its licensors, and are protected by applicable intellectual property laws in Mexico and international treaties.

Project Deliverables: Unless otherwise stipulated in the individual service contract, specific deliverables developed for the client as part of a contracted project will become the client's property once full payment for the project has been completed.

Pre-existing Intellectual Property: OwnCX retains all rights to its pre-existing intellectual property, including methodologies, frameworks, tools, and general knowledge acquired during service delivery. The client does not acquire rights to these elements.

AI Assistant: Interactions with our AI assistant (The Butler) do not generate intellectual property rights over the generated responses. The assistant's responses are advisory and do not constitute formal professional advice.

5. Confidentiality

Both parties commit to maintaining the confidentiality of all proprietary, commercial, technical, or other information shared in the context of the business relationship.

Confidentiality obligations: - Not disclose confidential information to third parties without prior written authorization. - Use confidential information solely for the purposes of the contracted project. - Implement reasonable measures to protect confidential information. - Return or destroy confidential information upon termination of the business relationship, except where legally required to retain it.

Exceptions: Information shall not be considered confidential if it: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party before disclosure; (c) is provided by a third party without a confidentiality obligation; or (d) is required by court order or competent authority.

Confidentiality obligations survive the termination of the business relationship for a period of 3 years, unless the individual contract establishes a different period.

6. Limitation of Liability

Consulting services: OwnCX commits to delivering its services with the diligence and professionalism expected of senior consultants with proven experience. However, business results depend on multiple factors outside OwnCX's control, and therefore we do not guarantee specific outcomes unless expressly stated in the service contract.

Liability cap: To the maximum extent permitted by applicable Mexican law, OwnCX's total liability for any claim related to services rendered shall not exceed the total amount paid by the client during the 12 months preceding the claim.

Exclusions: OwnCX shall not be liable for: - Indirect, incidental, special, consequential, or punitive damages. - Loss of profits, data, business opportunities, or goodwill. - Damages derived from information provided through the AI assistant, which is advisory and does not constitute formal professional advice. - Site interruptions due to force majeure, scheduled maintenance, or factors outside our reasonable control. - Decisions made by the client based on OwnCX's recommendations.

Website: Site content is provided "as is" and "as available". OwnCX does not guarantee that the Site will be free of errors, viruses, or interruptions.

7. Payment Terms

Specific payment conditions (amounts, deadlines, payment methods, currency, late payment penalties) are established in the individual service contract, service proposal, or quotation accepted by the client.

General conditions: - Payments shall be made in the currency and within the deadlines established in the individual contract. - Prices do not include applicable taxes (VAT/IVA), which will be added according to current Mexican tax legislation. - OwnCX reserves the right to suspend service delivery in case of payment default by the client after 15 days of delay. - All payments for services effectively rendered are non-refundable, unless the individual contract provides otherwise.

8. Termination

Termination for convenience: Either party may terminate the business relationship with 30 calendar days' prior written notice, unless the individual contract establishes a different period.

Termination for cause: Either party may terminate the relationship immediately in the event of: - Material breach of obligations established in these Terms or in the individual contract. - Insolvency, bankruptcy, or insolvency proceedings of the other party. - Violation of confidentiality obligations.

Effects of termination: Upon termination, the client shall pay for all services effectively rendered up to the date of termination. Confidentiality, intellectual property, and limitation of liability clauses survive termination.

9. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the United Mexican States (Mexico).

For the resolution of any dispute arising from or related to these Terms, the parties submit to the jurisdiction of the competent courts of the city of Monterrey, Nuevo Leon, Mexico, waiving any other jurisdiction that may correspond to them by reason of their present or future domiciles.

10. Dispute Resolution

Before resorting to the courts, the parties agree to attempt to resolve any dispute in good faith through the following mechanisms:

  1. Direct negotiation: The parties shall attempt to resolve the dispute through direct negotiation between representatives with decision-making authority for a period of 30 calendar days.
  1. Mediation: If direct negotiation does not result in a resolution, the parties may submit the dispute to mediation before a certified mediator in the city of Monterrey, Nuevo Leon.
  1. Ordinary jurisdiction: If mediation does not result in a resolution within 60 days, either party may resort to the competent courts of Monterrey, Nuevo Leon, in accordance with section 9.

11. Website Use

By using the Site, you agree to:

  • Not attempt unauthorized access to OwnCX's systems, networks, or data.
  • Not use the Site to transmit illegal, harmful, threatening, abusive content, or content that violates third-party rights.
  • Not interfere with the normal operation of the Site.
  • Not use robots, scrapers, or other automated means to access the Site without authorization.
  • Not impersonate another person or entity.

OwnCX reserves the right to restrict or block access to the Site for any user who violates these terms.

12. Modifications

OwnCX reserves the right to modify these Terms of Service at any time. Modifications will be published on this web page (owncx.io/en/terminos) and will take effect upon publication.

In the case of substantial changes affecting contracted services, we will notify active clients by email with at least 15 days' advance notice.

Continued use of the Site or our services after the publication of changes constitutes acceptance of the modified terms.

13. General Provisions

  • Entire agreement: These Terms, together with the applicable individual service contract and the Privacy Policy, constitute the entire agreement between the parties.
  • Severability: If any provision of these Terms is declared invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • No waiver: OwnCX's failure to exercise any right does not constitute a waiver of that right.
  • Assignment: The client may not assign its rights or obligations without OwnCX's prior written consent.
  • Force majeure: Neither party shall be liable for non-compliance due to force majeure (natural disasters, pandemics, armed conflicts, government acts, telecommunications failures, or other causes outside their reasonable control).
